Scope of Work & Deliverables

2. Services

The specific scope of work, deliverables, campaign objectives, and project milestones for any engagement depend on the customer's selected service, proposal, quotation, invoice, statement of work, or service agreement.

Where applicable based on your agreed plan or proposal, Clixhora may provide services including:

  • Digital marketing strategy and roadmap development
  • Paid advertising campaign set-up, monitoring, and management
  • Website design, coding, testing, and deployment
  • SEO audits, keyword optimization, and technical enhancements
  • Content creation, copywriting, and media editing
  • Graphic design and ad creative production
  • Performance reporting and analytics reviews
  • Ongoing campaign optimization and strategy refinement
  • Professional consultation and project support
Any work requested by the customer outside the agreed scope of work may require an additional quotation, fee agreement, or explicit written approval prior to execution.
Required Assets, Access & Timely Approvals

3. Customer Responsibilities

To enable Clixhora to deliver services effectively, customers agree to actively cooperate and fulfill key responsibilities:

  • Provide accurate, current, and complete business information required for project execution.
  • Grant timely access to relevant accounts, ad managers, hosting, domain control panels, analytics, and brand assets as necessary.
  • Ensure that all text, images, logos, trademarks, and materials provided to Clixhora do not knowingly infringe third-party intellectual property rights or violate applicable laws.
  • Review and approve project deliverables, ad creatives, and website drafts in a timely manner.
Delays in providing required information, account credentials, brand assets, or timely approvals may impact project delivery timelines and performance schedules.
Billing Terms & Third-Party Advertising Spend

4. Service Fees and Payments

Service fees for Clixhora services are determined by the specific quotation, proposal, invoice, subscription package, or agreement accepted by the customer.

  • Service fees must be paid in accordance with the agreed payment schedule, invoice terms, or retainer structure.
  • Advertising spend paid directly to third-party ad platforms (such as Google Ads, Meta Ads, LinkedIn Ads, etc.) is separate from Clixhora's service fees unless explicitly stated otherwise in a written scope.
  • Third-party platform fees, software subscriptions, domain registrations, or specialized plugin licenses are not included in Clixhora's service fees unless explicitly detailed in your contract.
  • Work outside the agreed scope or extra revisions beyond stated limits may incur additional charges at Clixhora's standard rates.
Clixhora offers customized packages across various digital marketing and development services; overall costs vary based on scope, ad budgets, and project complexity.
Ad Networks, Governance & Policy Controls

5. Advertising and Third-Party Platforms

Clixhora manages and optimizes campaigns across third-party advertising platforms, including Google, Meta (Facebook & Instagram), WhatsApp, YouTube, and others.

While Clixhora applies industry best practices to manage campaigns and optimize results based on available performance data, decisions and policies made by third-party platforms remain strictly outside Clixhora's direct control.

External platform factors include, but are not limited to:

  • Ad copy or creative approvals and review timelines
  • Account suspensions, restrictions, or policy enforcements by ad networks
  • Ad network policy updates and structural guidelines
  • Platform outages, technical glitches, or downtime
  • Algorithm changes affecting reach, bidding, or organic distribution
  • Fluctuations in advertising costs per click (CPC), cost per thousand impressions (CPM), or competition
  • Variations in audience reach or impression volume
Clixhora does not promise or guarantee specific ad network behavior or platform-level approvals.
Project Scope, Delivery & Technical Dependencies

6. Website Development Services

For website development, web design, and ecommerce projects delivered by Clixhora:

  • Project scope, technical specifications, pages, and features are defined in the agreed quotation or project specification document.
  • Customer-provided text, product data, images, media, and legal disclosures remain the sole responsibility of the customer.
  • Requests for additional features, complex third-party integrations, or page additions outside the agreed scope may require additional fees and extended timelines.
  • Project completion and delivery schedules depend on prompt customer feedback, asset submissions, content approvals, domain access, and third-party API dependencies.
Ownership & Asset Usage Rights

7. Content and Creative Materials

Clear guidelines govern ownership of content and materials involved in an engagement:

  • Customer-provided materials, logos, brand assets, and proprietary information remain the customer's property, subject to any existing third-party rights.
  • For creative materials, custom graphic designs, copy, and videos developed by Clixhora, ownership and usage rights transfer in accordance with the specific project agreement, proposal, or quotation upon full payment of agreed fees.
  • Clixhora retains the right to showcase completed non-confidential project deliverables, website designs, and campaign case studies in its marketing portfolio, unless restricted by a signed non-disclosure agreement.
Performance Disclaimers & External Variables

8. Campaign Performance

Clixhora does not guarantee a specific number of leads, sales, search engine rankings, revenue, impressions, clicks, conversion rates, or return on advertising spend (ROAS) unless explicitly agreed in a separate written performance contract signed by both parties.

Digital marketing outcomes are influenced by numerous dynamic commercial and technical factors beyond our agency's sole control, including:

  • Client industry dynamics and level of market competition
  • Allocated advertising budget and campaign duration
  • Product pricing, offer competitiveness, and brand reputation
  • Website user experience, conversion funnel, and checkout functionality
  • Prevailing market conditions, seasonality, and consumer purchasing behavior
  • Ad platform algorithm changes and auction mechanics
  • Customer sales follow-up promptness and conversion handling
  • Data tracking accuracy, browser privacy restrictions, and cookie policies
Protection of Proprietary Assets & Frameworks

9. Intellectual Property

All proprietary materials, agency frameworks, audit tools, campaign structures, internal strategies, website code, and branding assets created by Clixhora remain the intellectual property of Clixhora, except where ownership is explicitly transferred under an agreed contract.

Customers agree not to copy, reverse-engineer, resell, or unauthorizedly distribute Clixhora's proprietary workflows, internal systems, or copyrighted material.

Customer-owned logos, trademarks, and pre-existing assets remain subject to the customer's respective rights.

Protection of Sensitive Business Information

10. Confidentiality

Both Clixhora and the customer agree to maintain the confidentiality of non-public business information, strategies, trade secrets, credentials, and customer data shared during the course of the engagement.

  • Confidential information will only be used for the purpose of executing the agreed services.
  • Information will not be disclosed to unauthorized third parties without prior written consent, except where required by law, court order, or regulatory authority.
  • Disclosure is permitted to authorized employees, contractors, and essential third-party service providers bound by equivalent confidentiality obligations.
Integrated Tools, Platforms & Software

11. Third-Party Services

In delivering digital marketing and web solutions, Clixhora may utilize or integrate third-party platforms, APIs, software, and tools.

Examples of third-party platforms and tools include, but are not limited to:

  • Google Search Engine, Google Ads, Google Analytics, & Google Business Profile
  • Meta Platforms (Facebook, Instagram, Meta Ads Manager, WhatsApp Business API)
  • Web hosting providers, domain registrars, and Content Delivery Networks (CDNs)
  • Analytics, heatmap, and session tracking platforms (e.g., Microsoft Clarity)
  • Email delivery services, payment gateways, and CRM systems
These third-party platforms operate under their own independent terms of service, privacy policies, and operational guidelines. Clixhora is not responsible for changes, outages, or policies imposed by third-party software providers.
Termination Provisions & Outstanding Fees

12. Cancellation and Termination

Either party may request to pause or terminate a service relationship in accordance with the cancellation provisions specified in the applicable project agreement, quotation, or retainer proposal.

  • Termination notice terms, if applicable, follow the customer's specific service contract or proposal agreement.
  • Upon termination, all outstanding balances for work already delivered, ongoing campaign management completed up to the termination date, or approved project milestones remain fully payable.
  • Unpaid balances or overdue invoices may result in the suspension of campaign activities, web hosting services, or project asset delivery.
Refund Eligibility & Platform Advertising Charges

13. Refunds

Clixhora does not provide automatic or unconditional refunds for digital marketing, consultation, creative, or web development services once work has commenced or deliverables have been provided.

  • Refund requests are evaluated strictly based on the specific service contract, quotation terms, completed work, and individual project circumstances.
  • Advertising budgets paid directly to third-party ad platforms (e.g., Google Ads, Meta Ads) are charged by those platforms and are subject exclusively to their respective refund and credit policies.
Risk Allocation & Reasonable Control Standard

14. Limitation of Liability

To the maximum extent permitted by applicable law, Clixhora, its partners, team members, and representatives shall not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of our website or services.

Specifically, Clixhora is not liable for business losses, loss of revenue, profit loss, data loss, or service interruptions resulting from circumstances outside our reasonable control, including:

  • Third-party advertising platform outages, policy changes, or account restrictions
  • Search engine algorithm updates or ad network policy adjustments
  • Internet connectivity failures, server downtime, or third-party hosting interruptions
  • Unauthorized access to customer systems not caused by Clixhora's direct gross negligence
  • Delays caused by third-party software tools, payment processors, or API changes
Nothing in these Terms seeks to exclude or limit liability where it would be unlawful to do so under applicable law.
Customer Protection & Hold Harmless Obligation

15. Indemnification

Customers agree to indemnify, defend, and hold harmless Clixhora, its officers, team members, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Customer-provided content, logos, images, or materials that infringe third-party intellectual property or rights.
  • Any unlawful business practices, misrepresentations, or breach of applicable regulations by the customer.
  • Failure by the customer to comply with their obligations under these Terms of Service or agreed contract.
